Tombstones: A Lawyer's Tales from the Takeover Decades ReviewHaving taken an M&A course in law school and heard Larry Lederman tell personal stories of his M&A days, I had to read this book. It was insightful and read like a novel, despite covering large amounts of technical and financial data. Larry covers his beginning days of doing deals at Cravath and later at Wachtell, engineering some of the most novel dealmaking the world has ever seen in the process. Larry's sharp mind and hard work, along with a handful of other New York lawyers and bankers in the 1980s, helped transform the market into what it is today. Recommended read for any M&A lawyer or banker or for someone aspiring to be such.Tombstones: A Lawyer's Tales from the Takeover Decades Overview

Corpocracy: How CEOs and the Business Roundtable Hijacked the World's Greatest Wealth Machine -- And How to Get It Back ReviewCorpocracy is an ugly word, not just because of its mixed roots, but because of the governance situation in the United States which it has been coined to describe. In this compelling book, Bob Monks has summarised the means by which American business interests have conspired to suborn the state. No-one else has his authority or breadth of experience in this field of corporate governance. A corporate lawyer and banker by calling, he headed the division in charge of ERISA in the political field and he helped launch Institutional Shareholder Services and LENS to prove that active investors create value. He has distilled his remarkable range of experience into a brief and highly readable polemic. In doing so, he argues that the balance of power between corporations, those who own their shares and those charged with regulating their conduct has to be redressed.
It might, at first sight, seem that the situation which he analyses so penetratingly is peculiar to the United States and that the wider world need not actively concern itself with the author's message. This would be to underestimate the importance of this book. The lessons to be drawn from the consequences of the rise of the political power of American business, which it chronicles, are universal. In addition, given the global reach of American corporations, the need to restore their accountability to their investors within an effective regulatory framework has global implications.
Corpocracy is not a lament, though it describes much that is lamentable. It is a sober and arresting account of the manner in which the author's personal efforts to persuade the appropriate authorities, regulators and major investing institutions to do their duty, morally and juridically, has met with little effective response. The book's impact is all the greater for the restrained manner in which Bob Monks describes how those appointed to discharge their statutory and fiduciary duties repeatedly failed to do so. Inaction by the gatekeepers, left the field open to the untrammelled rapacity of imperial CEOs.
The balance of power between boards and CEOs in the United States remains a paradox, given the country's regulatory history of preventing accretions of power in relation to trusts and to banking. Nowhere else would it be possible to elect a director on a single vote, nowhere else could shareholder votes be invalidated by "ballot stuffing", nowhere else are shareholders so limited in their ability to raise issues at AGMs, which some directors may not even bother to attend. The prevailing concept of CEO/chairmen selecting their outside board members, thus compromising their independence, strengthens the hand of the CEO at the expense of that of the board.
The response to this imbalance in governance terms is the financial track record of US corporations, but at whose expense has it been achieved? Bob Monks' answer is:
"History will look back on the 1990s and early 2000s as a time when the principal officers of public American corporations transferred from shareholders to themselves approximately $1 trillion - or 10 percent of the market value of public exchanges. This must be the largest peacetime movement of wealth ever recorded, and it was accomplished through stealth that amounted to theft and in a spirit of regulatory permissiveness that certainly rises near to the level of criminal neglect." In addition, there is the extra 5 percent of profitability that the Corporate Library metric tells us is lost through bad practice, plus the opportunity cost of boards focusing on short term personal aggrandisement at the expense of sustainable profitable growth. As the one member of the SEC, who opposed the Committee's recent decision to limit the ability of shareholders to put forward resolutions, said: "Corporate governance in the United States is not well served by inattentive boards that are effectively unaccountable to shareholders."
Inevitably one of the headline manifestations of this lack of accountability has been the grossness of the rewards, which some of these principal officers have arrogated to themselves, for failure as well as success. There are attempts to justify these excesses by analogy with the earnings of stars of sport, stage and screen or by claiming that they are market determined. The analogy with the stars is manifestly spurious. The stars earn what their individual talent commands in the hotly contested market for entertainment. The profits of a corporation are earned collectively and represent the sum of the efforts of everyone in an enterprise. The issue therefore is how they should be distributed in a form that would be generally perceived to be fair and in accordance with the concept of natural justice.
A corporation's pay structure should meet the test of equity, rewarding those working for it, from top to bottom, in relation to their contribution to its performance. Ignoring equity in rewards sows the seeds of social division and dissension with its longer term consequences. What seems to have set the bounds to the multiple by which the earnings of the principal officers of companies exceed those of the average employee in most countries is a sense of social cohesion. The multiple varies by country and through time, but it represents a social constraint or discipline, which carries with it economic advantages not to be ignored.
The fact that shareholders are outraged by the grosser excesses of the pay packages of the principal officers of some corporations is no more than a symptom of the lack of accountability of US boards to those who own their stock, hence the theme of the book. It is a cause which Bob Monks has espoused and pursued with a determination and energy that is wholly admirable and selfless. In spite of setbacks, he believes that this essential accountability can be restored. He sees no cause for new laws, agencies or fiscal measures, though the existing statutory and regulatory framework should be effectively enforced. He argues that it is the major investing institutions that carry the obligation to themselves and to society to restore trust in the capitalistic system.
They have the power to reform the governance of corporations and they have a straightforward economic incentive to do so. The obligation, however, of the great foundations, among the investing institutions, to play their part in bringing about reform goes beyond the calculus of financial gain. It lies at the heart of their creation. They directly assist their chosen causes, but that is within the wider context of a market system which provides them with the ability to do this. They have a responsibility to maintain the means by which they fulfil the aims for which they were founded.
The book's message is therefore optimistic, provided that it is heeded in time. Trust and accountability can be restored, but it will take courage and above all leadership to do so. What is needed is enlightened leadership by those in a position to exercise it in the investing institutions and in corporations themselves. In Bob Monks' words:
"It demands that those with a majority stake in the corpocracy - its principal owners and beneficiaries - lead the way back to the broad light of day. The hour is late. The sun won't always be waiting."

Asia's Banking CEOs: The Future of Finance in Asia ReviewThis is an important and timely book. In writing about the leaders at Asia's largest and most important financial institutions, Peter Hoflich has chronicled not only the current state of banking in Asia, but also how these institutions survived the Asian financial crisis and where they are going, in bringing banking services to the some of the world's largest emerging consumer markets.
As US and UK banks are crumbling around us, the tales that the CEOs in this book have lived to tell are especially important. Japan's Shinsei emerged from the former Long-Term Credit Bank after a private equity buyout; Thai banks implemented painful credit controls; Indonesian banks are only now recovering, after a round of mergers.
The range of institutions and personalities covered in this book is breathtaking. Banks include China's ICBC which raised $22 billion in its IPO to India's HDFC that is developing products for all categories of consumers, from the super wealthy to the 700 million unbanked people in the country. Internet-only banks, foreign banks jostling for position among the local domestic giants, family owned and nationalized banks are also featured. One thing's for sure -- these men are women are determining the direction of economies in Asia through the banking services they are developing. They discuss their travails and triumphs in this book.
Hoflich's coverage of Japanese and Korean financial institutions is particularly strong. Certain markets, like Malaysia, Singapore and Vietnam, are, unfortunately, not covered. But his fluency on issues, easy writing style and wit makes this book an enjoyable read. A must for anyone interested in banking.Asia's Banking CEOs: The Future of Finance in Asia Overview

Watching the Watchers: Corporate Goverance for the 21st Century ReviewMonks and Minow update and expand on their previous books Power and Accountabilityand Corporate Governance. As practitioners and theorists they providedozens of examples from personal experience which enable the reader to quickly grasp the importance of corporate governance to wealth creation and social progress. In a few short hours of reading they cover the evolution of the corporation as a social construct, as well as the developing roles of shareholders, directors, and management. The book concludes with concrete recommendations which deserve thoughtful consideration.
Monks and Minow trace the evolution of corporate governance and note that "there was no conscious choice in favor of treating shares of stock as though they were betting slips for races that were over at the end of each day." "Every 'improvement' in the system for owning stock was designed to make it easier to trade. No one seemed to notice or care that each of these 'improvements' also made it harder to exercise classic ownership rights." "During the takeover era, it became clear that, though the system was designed to promote transferability above all, there was one kind of transfer that the system would not tolerate: the transfer of power from one group to another."
Monks and Minow are concerned with increasing corporate accountability. They argue that any attempt to do so through chartering restraints is doomed to failure because the company's managers can move virtually any place in the world. In addition, "the political process is too dependent on money to make it possible for the government to be the ultimate guardian of accountability." "The only answer is a system of governance that originates from within the corporation itself and that includes the participation of an informed and effectively manifested broad class of owners." They point out that the tax cost of pensions is in excess of $50 billion per year, the largest item in the budget after defense. Because pension funds are subsidized by public funds it is, therefore, "appropriate for government to define broadly how pension fund trustees should function in their capacity as owners of the country's industrial establishment."
They call for a "Federal Law of Ownership" to coordinate the action of relevant agencies. For example, "the government must set the standard for interpreting and enforcing the 'exclusive benefit' rule or ERISA to provide guidance for private sector fiduciaries." However, the prime responsibility falls not to government but to the pension funds and corporations.
In the end, "whether ERISA trustees will ultimately become effective monitors depends on two factors - DOL's willingness and capacity to enforce its regulation and, more importantly, the conclusion by corporate management that an ownership-based governance system is ultimately in their best interest." Government needs to draw a "bright line" on conflict of interest; management needs to acknowledge that "creative tension" between themselves and owners is preferable to the current system of unaccountable "phony governance." Pension funds would then create a market for new institutions offering "ownership services" and companies with effective governance performance would realize the benefit of lower capital costs.

Dangerous Markets: Managing in Financial Crises ReviewIf you have no other book on financial crisis management, you must have this one.
The authors succinctly and clearly explain why economies in crisis do not behave the way economies normally do. They then identify key weaknesses in the financial sectors of crisis economies, and explain why they occur.
The book then goes on to provide a thorough and clear exposition on how crisis economies can be turned around, and what needs to be done, both politically and financially.
At this point the book turns to consider bank restructuring (a very specialised subject) and recovery of NPL portfolios in crisis economies. It concludes with recommendations for strengthening the international financial system to limit early economic collapse and prevent international financial contagion.
I really like this book, both as a guide for students, and a "how to" for CEO's and the financial sector. It is brilliantly clear and practical.
If you want to protect yourself and your organisation from financial crisis, or understand what happens when the economy you're operating in suffers collapse, get this book.Dangerous Markets: Managing in Financial Crises Overview

A Presidency in Peril: The Inside Story of Obama's Promise, Wall Street's Power, and the Struggle to Control our Economic Future ReviewPaul Kuttner gives disillusioned Obama voters the vocabulary to understand why the President who instilled such hope in 2008 leaves us so cold in 2010. While the administration chases increasingly unpopular ancillary goals, Americans worry about their pocketbooks, and watch Obama's economists squander his mandate by protecting the people who created our mess. President Obama lets the noble goal of bipartisanship trump actually getting anything done.
Kuttner, a political economist, dissects specifically the administration's poor fiscal choices in its first fourteen months. He isn't a historian, polemicist, or journalist; he presents no illusion of completeness or reportorial balance. Kuttner doesn't deny that he wishes Obama were more proactive and Keynesian, and that he's urging the President further to the left. He writes in hopes that Obama can reclaim the initiative and turn a failing economy around.
This book spares no personalities. Kuttner's chief enemy isn't the Republican minority, but the Robert Rubin branch of the Democratic party. Rubin as much as anyone bears personal blame for the current snafu, but Obama's economic team is dominated by Rubin protégés. Instead of boldly wading in to repair the deeply damaged economy, Obama has stayed hands-off, letting Rubin, Geithner, and Bernanke molly-coddle those who created our economic mess.
Massive TARP funds stopped mega-banks from hemorrhaging money, but did nothing about the institutional gangrene that created the problem in the first place. The administration has kept the executives who created the mess in charge of the banks they destroyed, falsely claiming helplessness as the execs award themselves end-of-year bonuses totaling more than the banks' net revenues, bonuses only possible through direct transfusions of taxpayer money.
Meanwhile, regional banks that followed rules see their securities turn to worthless paper, and go into receivership, thanks to trickle-down sleaze. Supposed fire-breathing populists like Barney Frank write cut-rate gifts to the most rotten banks, while voices like Sheila Bair and Elizabeth Warren, standing for responsibility and reform, find themselves in the margins. The rot is bandaged but not repaired. And our President seems strangely absent as this continues.
It doesn't have to be this way. Kuttner looks back to FDR, Lyndon Johnson, and even George H.W. Bush for examples of Presidents who stood against economic chicanery. And he turns to two Democratic Presidents for examples of how an administration can recover after initial serious missteps. Will the Obama administration, he wonders, resemble another Bill Clinton, or will our President redeem himself with the populist efficiency of Harry Truman?
Movement progressives looking for a voice to unite themselves against the interests should read this book. It provides the facts, the names, and the patterns that made our mess possible. And it urges a clean break with the past, a break Obama refuses to make. Perhaps this is the knowledge we've needed to stop sitting on our collective hands and reclaim the initiative we enjoyed two years ago. Robert Kuttner offers the hope Barack Obama did once upon a time.A Presidency in Peril: The Inside Story of Obama's Promise, Wall Street's Power, and the Struggle to Control our Economic Future Overview

What the CEO Wants You to Know : How Your Company Really Works ReviewDr. Charan has used his decades of experience with top CEOs to write a book that explains the overall concepts and focus of a successful business using simple metaphors. "The best CEOs . . . are able to take the complexity and mystery out of business by focusing on the fundamentals." "And they make sure everone in the company . . . understands these fundamentals." If you work in a small part of a large organization and don't understand how what you do contributes to the whole, this book will be a revelation to you. If you do not understand how business people think and would like to learn, this book will help you more than any five courses you could take.
The book is organized into four parts.
In part one, you learn the universal language of business though concepts like inventory, product mix, merchandising, pricing, return on assets, customer focus, product quality, cash generation, growth, and finding out what you need to change from customers. The primary metaphor used here is that of a street vendor who is selling fruit in India and cannot afford to have a bad day. Dr. Charan fleshes out the examples by referring to his family's shoe business, and to decisions taken by leading executives he has worked with (like Jack Welch of General Electric, Jac Nassar of Ford, and Dick Brown at EDS).
In part two, he talks about how to use these concepts in the real world. His key point is to take the measurements and create a focus on 3 or 4 key activities that will make the most difference. He also relates this work to expanding the value of the company's share price.
In part three, he turns his attention to getting key tasks done. This involves putting the right people in the right jobs, improving group effectiveness (usually by putting in place activities that provide more timely focus), and how to lead change. Dick Brown is the key example in this last area.
In part four, you pay attention to what you need to do to aply these concepts to your own situation so you "become a businessperson first" in your approach to everything. This part gives you help with assessing the whole business, cutting through complexity, providing focus, helping others expand their abilities and synchronize with their colleagues to be more effective, and being a leader (regardless of your role now).
You are left then with this challenge: "What are you going to do to help your company's money making in the next sixty to ninety days?
The book is quite simple and can be read fairly quickly. I think that few will be confused by it. If you have questions, ask someone who has some business education to help you.
The book's great strength is its simplicity. It takes business concepts and approaches down to the lowest common denominator. For many people, this will provide a great advance over doing what is best for the way you are measured in your part of the organization. But you will have to get those measurements changed if you want focus and behavior to improve in a lasting way.
The book's weaknesses are in four areas. First, the street vendor and shoe company examples won't work for everyone. I suspect that a carefully drawn lemonade stand example would have worked better since almost everyone in the United States has either had one of those or been a customer of one.
Second, it is a little opaque from the material here how to find the key leverage points to improve the business. Talking to your customers will get their issues, but then what do you do next? This subject implies doing some systems thinking, and the basis for doing that work isn't laid here.
Third, the material on stock price improvement is weak. It also doesn't have any connection to a simple example. You are just expected to take his conclusions. It would have been easy to strengthen this section by extending the analogy of how a family that depends on a business feels when the business doesn't do well. I actually thought the Ford example was one of failure rather than success. Reasonable people will differ on these things.
Fourth, most businesses today need totally improved economic models rather than evolution of the ones they are using now. This book doesn't adequately surface that key point. In fact, the examples are drawn from companies that have done relatively little to change business models.
The person who will get the most benefit from this book will be the executive who wants to get her or his colleagues more involved in thinking like CEOs (and shareholders). You could take this book, and refocus it around simple examples that fit your business, and use examples of focus from things you are working on now. That would make this book extremely beneficial.
Help people understand what the issues are, how to think about those issues, encourage everyone to come up with better solutions, and make it simple and easy to experiment with new approaches. That approach can help you make progress much faster.
Take on the big picture! What the CEO Wants You to Know : How Your Company Really Works Overview

amBITCHous: (def.) A Woman Who: 1. Makes more money 2. has more power 3. gets the recognition she deserves 4. has the determination to go after her dreams and ReviewAfter hearing Debra Condren interviewed on a podcast about how women undermine their own ambitions, I couldn't wait to read her book. I related to her thesis. Sometimes, out of fear of looking like I have a huge ego, I don't even try to take on projects that I know I'm capable of. In other words, I need to learn how to be a little more ambitchous.
That word is Condren's way of describing the double standard facing women. As she puts it, "Ambitious men are go-getters, but ambitious women are bitches." She illustrates her point with Madonna and Carly Fiorina. Media stories about both of them tend to focus on their faults instead of their accomplishments. (Perhaps we could add Paris Hilton to that list.)
Through interviews with other women and her work as a business coach, Condren has developed strategies to help women overcome the fear of being ambitious. She bemoans the fact that many advice books suggest that achieving "balance" requires career sacrifices. Nonsense, she says. Putting your career ambitions first makes you a better person, she argues, because you will be a happier one. "You must regard your deepest career aspirations as unconditionally sacrosanct," she writes.
While the pep talk is inspiring, the real value of this book lies in its concrete tips. She recommends asking for the raise you deserve, claiming credit when it's due, asking for advice from women you respect, and taking regular sabbaticals to make sure you are dreaming big. All of it is great advice that I plan to incorporate into my life.
And when I'm done with this book, I can think of more than a few friends I'd like to pass it on to.amBITCHous: (def.) A Woman Who: 1. Makes more money 2. has more power 3. gets the recognition she deserves 4. has the determination to go after her dreams and Overview

Reinventing the CFO: How Financial Managers Can Transform Their Roles and Add Greater Value Review
I agree with Jeremy Hope that those who are -- or who aspire to become -- a CFO need to understand that, as Hope explains, "too many CFOs...remain prisoners of dysfiunctional systems and mental models that were developed for a role that is fast becoming obsolete." That is to say, the position of CFO must be reinvented. However, my own opinion is that that will not happen unless and until governing boards and CEOs insist that CFOs be centrally involved as part of the senior-management team running the given business. The same is also true of CIOs and heads of HR. Today, CFOs face a number of extrernal pressures. For example, new success drivers such as strategic planning, resource allocation, and performance measuring systems as well as a new regulatory environment and more demaning shareholders. With regard to internal pressures, they include too much detail and complexity, inadequate forecasting capability, too little understanding of how to reduce costs, and a lack of risk management expertise.
In this volume, Hope addresses with rigor and eloquence a number of key issues that the CFO and her or his finance team must accommodate to transform the finance operation. He suggests that the CFO be viewed in several different roles:
As a "freedom fighter" who liberates both finance and business managers from "huge amounts of detail and the proliferaion of complex systems that increase their workload and deny them time for reflection and analysis"
As "analyst and adviser" who, by breaking free from detail and complexity, "creates time for finance to provide the information that managers need to make effective decisions"
As "architect of adaptive management" who enables managers to be liberated by releasing them from "the chains of the detailed annual planning cycle" by replacing targets and budgets with "effective steering mechanisms, including continuous planning reviews and rolling forecasts, that enable managers to sense and respond more rapidly to unpredictable events and to changing markets and customers"
As "warrior against waste" who with her or his finance team is able to focus on "huge swathes of costs that have remained unchallenged for years"
As "master of measurement" who brings measurement back under control and provides clear guidance about its meaning to managers at every level who, with rare exception, only need six or seven measures
As "regulator of risk" who provides an effective framework for good governance and risk management "by using multiple levers of control that support corporate governance controls, internal controls, strategic controls, and feedback controls"
In the final chapter, Hope focuses on the CFO as "champion of change." He cites a number of exemplary CFOs who have transformed their finance operations, examining how they started, what vision or goals they set for themselves, how they got buy-in from key people, and how they implemented the changes. His case examples include American Express, Tomkins, and the World Bank.
Hope devotes a separate chapter to each of these "roles," explaining how the reinvention of the CFO inolves a multi-dimensional process of increased involvement in management at the highest level. To repeat, this will not happen unless and until the governning board and CEO insist upon and support, then sustain that process.
In this context, I am reminded of what Robert Kaplan and David Norton characterize as "the strategy-focused organization," one which is guided and informed by five core initiatives: translating strategy to operational terms, aligning the organization to the strategy, viewing strategy as everyone's job, making strategy a continual process, and mobilizing change through executive leadership. The first four principles focus on the Balanced Scorecard tool, framework, and supporting resources; the importance of the fifth principle is self-evident. "With a Balanced Scorecard that tells the story of the strategy, " Kaplan and Norton suggest, "we now have a reliable foundation for the design of a management system to create Strategy-Focused Organizations."
Hedre's a key question: When embarked on the reinvention process, how to gain the support of key people? In response, Hope stresses the importance of involving operating people in the change process, avoiding more complexity, showing some "early wins" (i.e. picking "low-hanging fruit"), and being patient while maintaining momentum. He makes a convincing case that financial managers really can "transform their roles and add greater value" but only if they are allowed to do so. Moreover, they must be actively involved in a process, a "journey," shared with others. Only then can everyone on the senior-management team, working effectively together, establish and then strengthen "a more adaptive, lean, and ethical organization."
That is a journey all senior-level executives in a given organization must complete together, with the active involvement and solid support of governing board members. Hope explains not only why that is imperative but also how to do it effectively, to the substantial benefit of all stakeholders.

CFO as Business Integrator ReviewFollowing "CFO: Architect" and "eCFO", at last a work of real substance, and minimal PwC consulting-ese (only to be replaced with SAP-centrism, an understandable weakness, as SAP sponsored the book).
Each chapter is written by a businessperson with considerable depth in his particular area - from a business perspective - which distinguishes this volume from previous books in the series, which - to put it just slightly unkindly - were written by consultants who couldn't consult their way out of a paper bag.
Shortcomings aside, this volume is obligatory reading for every CFO and financial manager who who wants to navigate his company by looking forward versus by looking at the rear-view mirror.CFO as Business Integrator Overview

Advising Ultra-Affluent Clients and Family Offices (Wiley Finance) ReviewIn light of the recent global turmoil this book seems especially relevant, albeit for a specialised audience. I mean, how many people will really find this germane? This is not a reflection on the authors, but on the subject. Still, the text is quite readable. It explains what wealthy clients often look for in financial hand holding. Typically they do not have much [any?] expertise in financial matters and will depend on you for advice and management of their funds.
Unsurprisingly, as far as investment management is concerned, the emphasis seems to be on active management, with its accompanying fees. These are often over 1%. There is little suggestion about the use of passive index funds, which have much lower expenses.
To be sure, the book does talk about cases where clients need advice about spending and about such subjects as real estate investments. So some active management fees levied by you are appropriate. But a good advisor should also suggest a core of index funds, that will lower the overall expenses of the client.Advising Ultra-Affluent Clients and Family Offices (Wiley Finance) Overview

The Total Money Makeover with Deluxe Executive Envelope System ReviewI enjoy discussions about my finances about as much as I enjoy talking about my weight. I certainly need to work on both, but I'd prefer to avoid the topics if at all possible, thank you very much. Can I get an "amen"?
Dave Ramsey, radio talk show host, author and all-around financial guru, is no stranger to this ostrich routine. After his own bankruptcy he came to the conclusion that the key to financial (and physical) fitness isn't knowing all the tricks of the money trade; it's being honest with yourself. "If I can control the guy in the mirror, I can be skinny and rich," he says in his new book THE TOTAL MONEY MAKEOVER.
In other words, you have to get your head out of the sand. Okay, I have to get my head out of the sand.
Leaving the skinny to other books, Ramsey is a prophet to those who want to be rich but would settle for being financially stable. It's clear that this is a large group, given the popularity of Ramsey's radio show and books. After reading THE TOTAL MONEY MAKEOVER, I can see why they flock to him for advice.
Ramsey's principles are simple and straightforward. Pay cash. Pay off debts from smallest to largest. Create an emergency fund. He provides easy-to-understand answers to many seemingly complex questions about budgeting, retirement funds, saving for college education, and more.
Large pullout quotes scattered throughout the book offer bite-sized financial advice and factoids in Ramsey's typically direct manner:
"A new $28,000 car will lose about $17,000 of value in the first four years you own it. To get the same result, you could toss a $100 bill out the window once a week during your commute."
"Looking to spend $100 per month on life insurance? You could pay $7 a month toward term insurance and invest the remaining $93. But go with a cash-value policy if you'd rather have someone else earn interest on your investments."
"49% of Americans could cover less than one months' expenses if they lost their income."
"If your mortgage payment is $900 and the interest portion is $830, you will pay that year around $10,000 in interest. What a great tax deduction! Right? Otherwise, you'd pay $3,000 in taxes on that $10,000. But who in their right mind would chose to trade $10,000 for $3,000?"
All of this advice is helpful and eye opening, but what Ramsey really excels at is presenting inspirational tales of those who were once, but are no longer, in financial disarray. Their stories make up at least a third of the book, and the cumulative effect is that of a published pep rally designed to get people pumped up about saving money. And it works.
This is a must-read book for anyone whose looking for a little basic financial information and a whole lot of courage to finally put away the ostrich suit.

Nonprofit Financial Planning Made Easy (Wiley Desktop Editions) Review
[This review is actually for the Second Edition of this book which I read at B&N on Saturday, February 09, 2008. See ISBN 0471715271.]
This is a gem of a book. I have a financial background, so it was a pretty easy read for me. Like the author I too hold the CPA designation. But unlike the author I don't use that designation professionally any longer. The book has the following 8 chapters:
1. Introductory concepts
2. Structuring the organization for fiscal strength
3. Financing the dream
4. Budgeting
5. Asset management
6. Nonprofit accounting
7. Special financial tools
8. Obtaining and maintaining tax-exempt status
For two years not too long ago I worked as a consultant to nonprofits that needed help with multi-million-dollar capital campaigns. The nonprofit world was new to me then, except for the time I spent in Washington DC a number of years ago as a staff auditor auditing trade associations for E&Y. As a result of my fundraising experiences I found it necessary to read lots of books about aspects of nonprofits. I read books on nonprofit management, nonprofit fundraising, nonprofit capital campaigns, nonprofit endowment campaigns, major gifts, grant proposals and writing, and nonprofit strategic planning.
I didn't read nonprofit books on nonprofit accounting, bookkeeping, or financial planning since I basically knew that stuff. But some people who are not well versed in such subject matter would do themselves a favor to get a copy of Ms. Blazek's book on nonprofit financial planning if they want a well written and well outlined book on the subject. CEOs and CFOs of nonprofits should be adept at their organization's (1) operations, (2) financial planning, and (3) fundraising efforts and abilities. By getting a copy of this book the nonprofit executive can get a good handle on the second leg of the three-legged stool. 5 stars!Nonprofit Financial Planning Made Easy (Wiley Desktop Editions) Overview

Financial Management for Nurse Managers and Executives ReviewI picked this book up to help me better understand Cleverly's book, "Essentials of Health Care Finance". After weeks of re-reading Cleverly's book I read several chapters in this book and now it all makes sense! Well-written, clear, simple, with real life examples. The author does not assume you have taken several accounting courses. Instead of just reading this book for a course, I am now really interested in the subject.Financial Management for Nurse Managers and Executives Overview

The Marketing Gurus: Lessons from the Best Marketing Books of All Time ReviewI had to pick a book and write a review as part of an assignment of for may graduate marketing class. Having no marketing experience I took a shot in the dark and picked this book.
I am so glad I did. Although the authors of the original full-text versions would disagree, Mr. Murray "readers digest" summaries of the book were terrific. This book allowed me a great overview of 17 marketing books in one.
For someone new to marketing it was so quick and excellent reading to get me up to speed. You'll have to wait for a experienced marketing major for their judgment.
I felt it should be required reading for anyone who wants to know more about marketing but don't have the time to read all the full-text versions.

Ambassador from Wall Street: The Story of Thomas W. Lamont, J.P. Morgan's Chief Executive ReviewThe Ambassador From Wall Street is a fasciating tale of one of the great financial leaders of the 20th Century. As a retired New York banker who started work in 1950 and who held some quite responsible positions, I found the book contained messages for bankers that are as true today as they were in the life of Mr. Lamont, particularly on how to avoid undue risk and how to manage the inevitable messes when they occur. The book seems to have been well researched by the arthor, a Grandson of the subject, and takes us through the many economic and financial developments of the first half of the twentieth century. Its scope allows the reader to have a broad view of the financial world, a useful benefit in this age of globalization. I particularly recommend the book to young students of finance. The lessons learned will enhance their careers.Ambassador from Wall Street: The Story of Thomas W. Lamont, J.P. Morgan's Chief Executive Overview

Earnings Management: An Executive Perspective ReviewDr. McKee's Earnings Management offers a great deal of insight into a highly controversial topic within the realm of accounting. The first third of this book explains the difference between ethical earnings management practices and fraudulent financial reporting. He points out that Generally Accepted Accounting Principles offer multiple opportunities for legal and ethical earning management and points out the benefits of such practices. An especially interesting section provides a model that can be used to measure the bankruptcy probability of a company based upon recent financial performance. Dr. McKee shows how the use of earnings management techniques can significantly reduce financial distress and legitimately strengthen shareholder confidence.
The final two thirds of the book includes specific examples of earnings management techniques used by various public companies in recent years. His explanations of these techniques are thorough, yet at the same time not overly-technical. The writing is straightforward and you will not need to be a CPA in order to understand exactly how your company can take advantage of these earning management practices.
This book is geared toward those involved in the management of public companies; however, I believe it will appeal to a much wider group of readers. It provides information that is useful to all users of financial statements. The ideas contained within it would be useful to CEOs and CFOs, but also to shareholders and creditors, auditors and financial reporting managers, really anyone with an interest in the accounting practices of both public and privately-held companies. Highly Recommended!

Connecting Top Managers: Developing Executive Teams for Business Success ReviewLeadership teams, as a whole, create the culture of an organization, but very few organizations actually measure and work at optimizing leadership team performance, according to Jim Taylor and Lisa Haneberg in this book. Clashes within the leadership team have a significantly negative effect on the organization, and many leadership team meetings fail to produce results commensurate with their cost.
To address these issues, it is first necessary to define leadership team success. Besides achieving financial goals, how well does the team implement strategy, grow the business, make good decisions, build organizational culture, build leadership and managerial talent, build relationships, engage in coaching and collaboration, and build organizational agility?
The book goes on to describe good practices for executive teaming, how to assess the cost of meetings and ensure that meetings are creating sufficient value, a number of steps which can be taken to improve an organization's culture, how to build trust, credibility and familiarity quickly, methods for increasing leadership team member capabilities, how to enhance the organization's capacity to respond to change, and how to avoid the negative cultural traits which lead to unionization of the workforce.
I was impressed by how well the book identified issues that leadership teams often struggle with. Many leadership teams think of themselves as representatives of their functional units, rather than as a team, and as a consequence they have never considered how important it is to the organization's success that the leadership team function well. The book provides numerous ideas and tools for dealing with leadership team issues, and I highly recommend it.
