Boards That Deliver: Advancing Corporate Governance From Compliance to Competitive Advantage (J-B US non-Franchise Leadership) ReviewThis book is targeted for those of you who sit on boards, might yet sit on boards, or have an interest in how boards can and should function in the post Sarbanes-Oxley world. After the high profile implosions of several major firms and the revelations of executive criminality, board negligence, and accounting failures, the relevant parties have put pressure on firms to do a better job of functioning in the best interests of the owners of the firm; the shareholders. Among other steps, this included making the boards more independent of the CEO (who was too often also the Chair of the board) and the executive management of the firm.
Ram Charan explains how firms can `evolve' from being an old style Ceremonial Board to become a Liberated Board and then grow into an active and effective Progressive Board. He emphasizes that Progressive Boards have to emphasize the Group Dynamics of the board (how the team works together and how synergistically their talents combine), the Information Systems they use (relevant information they can get outside what is packaged for them by the CEO), and that the board focus on meaningful and relevant issues rather than getting distracted by the minutiae of board processes.
The author explains each of these three qualities in detail and deals with issues of CEO selection, management, and succession. He also talks about how the board should function when it has fully `evolved'. Charan also provides a few helpful questionnaires you can use to determine how your company is doing in certain key areas.
An interesting and helpful book for the target audience.

The Nonprofit Board Answer Book: A Practical Guide for Board Members and Chief Executives Review
I really liked this book a lot. It includes sound theory and is practical. And it was an easy read. It has 80 chapters broken into 7 sections as follows:
1. Basic board functions (1-12)
2. Board structure (13-22)
3. Selection and development of board members (23-36)
4. Board and committee meetings (37-46
5. The board's role as a fiduciary (47-58)
6. Board-staff relations (59-70)
7. Organizational change (71-80)
Each "chapter" ended with suggested action steps. And I found them to be very informative. It was very well written, but I thought there were too many chapters. I felt kind of like I was reading an online blog.
This is a VERY practical guide or handbook for board members and executives of nonprofit organizations. It is totally consistent with how things at well-run nonprofits work and/or should work. If you are responsible for running a nonprofit organization and and want to know how to do things the right way, then get a copy of this book and take advantage of what it has to offer. In tackling this confusion "Executive's Guide to Web Services," does a great job of explaining what Web Services are, and separating the business realities from the overblown hype. As such this book is recommended reading for anyone who is looking for a foundation upon which to really understand this emerging subject space.
In this book Marks and Werrell discuss:
- What differentiates Web Services from previous IT trends
- The concepts and standards that make Web Services possible
- The rational for using Web Services to increase organizational flexibility and agility
- Current and future business scenarios for reducing costs and increasing revenues
- How and where to begin using Web Services (as well as where not!)
- Predominant software vendors in the Web Services space, and their market positions
Overall the book avoids technical discussions, favoring a business centric perspective, from which strategic and tactical business considerations are examined. If you are looking for a guide on how to code your first Web Services program, this is not the book for you, this topics is left to the numerous implementation books already out there.
In this book you will find a solid Web Services foundation that will arm you with a good perspective on what Web Services are, as well as where and when to use them today. Executive Compensation Best Practices (Wiley Best Practices) ReviewOverall, this book provides a solid overview of a range of executive compensation practices. The section on proxy statement disclosures was particularly helpful because it provides a number of specific examples from proxy statements issued after the new SEC rules took effect.
Other sections are not as strong. I suspect that the book is best suited for junior level advisors to Compensation Committees (such as junior level compensation consultants or law firm associates), rather than the committee members themselves. For more senior professionals and committee members, the book may provide some helpful reminders. Still, the price is moderate enough to justify purchasing it, particularly if the proxy statement disclosure section will be of interest.Executive Compensation Best Practices (Wiley Best Practices) Overview

Nonprofit Board Answer Book: Practical Guidelines for Board Members and Chief Executives ReviewThis is a must-have book for nonprofit senior staffs as well as for volunteer board members who aspire to leadership and stewardship of the organizations they serve. It definitely lives up to the promise of the assertion on the book jacket that the authors, "...who collectively have more than 70 years of experience as chief executives, board members, and facilitators in the training of more than 20,000 board members in 20 countries..."
The book is comprised of 37 short chapters (typically 3-6 pages each) in five sections, designed to address all aspects of board service and board/staff issues. Each chapter provides facts, opinions, tools, and a few "suggested action steps" to help a board address the issue or situation presented in the chapter.
In general, the authors reference John Carver as a good resource for the theory and practice of nonprofit governance, but they don't make Carver the precise and proscriptive recipe that some adherents do. They admit the possibility that other techniques and structures can work well for certain organizations, while "sticking to their guns" in presenting their experiences and insights as having inherent value for most nonprofits.
I was especially impressed by the distinction made between the role of the board and the role of board members. Many policy governance disputes stem from a misunderstanding that, somehow, all board members should have the same responsibilities and be treated interchangeably.
I would have liked to see a clearer treatment of the issue of board diversity; interestingly, the authors seem to agree, admitting that it's a very difficult subject to address. Many board "diversity" programs focus on narrowly-defined "diversity" and run the danger of leading to "tokenism," according to the authors.
The charts and checklists that supplement the text are simple and effective. They're easy for readers to re-create and use in their own organizations.
The book even admits of the possibility that nonprofits can (and sometimes should) dissolve and disband, and provides strategies for helping board, staff, and community understand, accept, and even support the natural cycle of life as it applies to organizations. It's an important message and not a negative one.
Although originally published in December, 1997, it has already had three printings as of August, 1999. With 15 million volunteer board members in the U.S. alone, the publishers could run through many more printings.Nonprofit Board Answer Book: Practical Guidelines for Board Members and Chief Executives Overview

The book is really a risk management text book but you would never know that until the very end. The book explains a whole new way to look at risk management. It is sort of like the Book "Black Swan". The book lays out how you can redo our start a risk management program that will revolutionize your operation.
He does a good job of explaining the why we need to do this. All you have to do is pay attention to the news. The authors takes this information and adds to it. The added information will make you stand up in shock. For example the authors list all of the companies that have failed recently. The number will shock you. Another shocking fact is how the life span of fortune 500 companies is only like 45 years.
It throws out the old way of risk management. The book focuses people to deal with the extremes. The authors say people should do this in a comprehensive way, not just piling up the sand bags for the inevitable flood which will be coming.
The book is easy to read. It has lots of real world examples that brings the concepts alive in new ways. Then the authors offer the academic way to explain the concept. His ideas also will change how your company operates.
If you want to stretch your mind read this book. It also might save your job too.
