Outsourcing Agreements: A Practical Guide ReviewThis book is very well written. Kimball takes a dry, complex topic and presents it in a clear and easy to read style. Kimball never sacrifices accuracy in his quest for simplicity. His explanations are precise and balanced, never advocating for unilateral advantage. In fact, Kimball repeatedly stresses the need to attain equilibrium in the agreement. Kimball covers a range of topics from tax implications, to governance, to negotiation logistics. This book also includes sample contractual language in the appendices.
On a philosophical note, I am personally aligned with Kimball. Kimball makes it clear that he advocates for a rational, reasonable and balanced agreement. Kimball's philosophy is best stated by quoting from his own book. "Remember good deals are good for both sides."
Kimball's intended audience is both legal and non-legal business managers. In my opinion, as an attorney, this book is appropriate for non-legal business managers. This is not a traditional legal text, which can be intimidating to non-lawyers. Kimball gives the reader a great beginning and it will be up to the company to further investigate the issues when drafting specific language.
